1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Maitreya Labs (GSTIN: 27CIVPD7234A1ZA), operating under the brand name "KushL"(Udyam Registration: UDYAM-MH-01-0137537), with its registered office at 13, Raviraj, Mangal Housing Society, Gulmohar Road, Savedi, Ahilyanagar, Maharashtra, 414003, India.

By accessing or using the KushL platform at kushl.app and its subdomains, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

KushL is a collaborative project management platform that combines chat-based communication with AI-powered task management. We provide software-as-a-service (SaaS) to businesses and teams seeking to organize their work through a chat-first interface.

2. Definitions

• "Platform" refers to the KushL website (kushl.app), progressive web application (PWA), and all related services.
• "User" refers to any person accessing or using the Platform, including workspace owners and collaborators.
• "Workspace" refers to a brand/company container that holds projects, tasks, and team members.
• "Collaborator" refers to a team member invited to work on projects within a workspace.
• "Subscription" refers to the paid plan that determines feature access and usage limits.
• "AI Assistant" refers to the @AI mention feature that provides intelligent responses and task extraction.
• "Services" refers to the collaborative project management and AI-powered features provided by KushL.

3. Eligibility

To use KushL, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

4. Account Registration and Data Collection

When you register on KushL, we collect the following information:

4.1 For All Users

• Full Name
• Email Address (verified)
• Password (encrypted)

4.2 For Workspace Owners (Subscription)

• Payment information (processed via Razorpay)
• Billing address
• GST details (if applicable)

This data is collected to provide our services and comply with applicable tax and payment regulations.

5. Subscription Plans and Payments

We use Razorpay as our primary payment gateway, a licensed Payment Aggregator regulated by the Reserve Bank of India (RBI). By using our payment services, you also agree to Razorpay's terms of service.

5.1 Subscription Tiers

KushL offers the following subscription tiers:

• Subscriptions are billed monthly in advance
• Prices are subject to change with 30 days notice
• GST at 18% is applicable on all subscription fees for Indian customers

5.3 Payment Methods Accepted

• UPI (Google Pay, PhonePe, Paytm, etc.)
• Credit Cards (Visa, Mastercard, RuPay)
• Debit Cards
• Net Banking
• Wallets (Paytm, PhonePe, etc.)

6. Feature Limits by Tier

Each subscription tier has specific limits:

• Free: 1 workspace, 3 projects, 50 tasks/month, 5 AI queries/day, 2 collaborators
• Starter: 3 workspaces, 10 projects, 200 tasks/month, 50 AI queries/day, 5 collaborators
• Pro: 10 workspaces, unlimited projects, unlimited tasks, 200 AI queries/day, 20 collaborators, analytics
• Business: Unlimited everything, priority AI, custom integrations, dedicated support

When you exceed tier limits, you will be prompted to upgrade. Critical workflows will not be blocked.

7. User Obligations

7.1 General Obligations

• Provide accurate, current, and complete information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access
• Comply with all applicable laws and regulations
• Use the Platform only for lawful business purposes

7.2 Workspace Owner Obligations

• Ensure all collaborators comply with these Terms
• Manage access levels appropriately
• Maintain valid payment information for paid subscriptions
• Respond to billing inquiries promptly

8. Prohibited Activities

Users are strictly prohibited from:

• Using the Platform for illegal activities
• Creating multiple accounts to circumvent limits
• Sharing account credentials with unauthorized parties
• Attempting to reverse engineer or hack the Platform
• Using the AI Assistant for generating harmful or illegal content
• Scraping or automated data collection from the Platform
• Engaging in any form of harassment or discrimination
• Uploading malware or malicious content

9. Intellectual Property

Your Content: You retain all rights to the content you create and upload to KushL. By using our Platform, you grant us a limited license to store, process, and display your content solely for the purpose of providing our services.

Our Platform: The KushL name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Maitreya Labs. You must not use such marks without our prior written permission.

10. Data and Privacy

Your use of KushL is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. Key points:

• Your workspace data is encrypted at rest and in transit
• We do not sell your data to third parties
• AI queries are processed to provide responses but not used to train models
• You can export your data at any time

11. Limitation of Liability

To the maximum extent permitted by law, KushL (Maitreya Labs) shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Service interruptions or downtime
• Errors or inaccuracies in AI-generated content
• Actions of third-party integrations

Our total liability shall not exceed the subscription fees paid by you in the 12 months preceding the claim.

12. Termination

By You: You may cancel your subscription at any time. Your access will continue until the end of the current billing period.

By Us: We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in prohibited activities.

Data Retention: Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted.

13. Dispute Resolution

For disputes with KushL, parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ahilyanagar, Maharashtra, India.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ahilyanagar, Maharashtra, India.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
